The following Terms of Service constitute a binding agreement between your corporate entity and JTK Technology LLC regarding the provision of managed IT services, cloud support, cybersecurity assistance, and related technology consulting. Initiating a project with our agency denotes your full acceptance of these systemic protocols.
1. Service Delivery
JTK Technology LLC agrees to deliver the technology services described in your Statement of Work (SOW). Delivery timelines and milestone projections are estimates and may be affected by third-party providers, vendor maintenance windows, security incidents, or infrastructure dependencies outside our direct control.
2. Client Integration Responsibilities
The efficiency of our service operations depends on timely collaboration. The client is obligated to provide JTK Technology LLC with uninterrupted access to required technology environments, such as cloud tenants, workstations, network equipment, software accounts, and administrative portals. JTK Technology LLC assumes no liability for service delays resulting from restricted access, delayed approvals, or incomplete technical information.
3. Fees and Billing
Unless expressly overridden in a signed agreement, service fees paid to JTK Technology LLC cover planning, implementation, support, and management only. Third-party software licenses, hardware, vendor subscriptions, and cloud consumption charges are billed separately unless explicitly included. Late payment may result in suspension of non-critical services until the account is brought current.
4. Intellectual Property Parameters
Upon clearance of all financial obligations, the client gains full ownership of the localized deliverables produced explicitly for their brand (such as documented configurations, deliverable files, and custom setup artifacts). However, JTK Technology LLC retains exclusive ownership and intellectual property rights to the underlying frameworks, automation methods, operational procedures, and technical methodologies used to deliver services.
